TERMS AND CONDITIONS OF USE

PLEASE READ THE FOLLOWING CAREFULLY. BY ACCESSING AND USING THIS CLIENTINSIGHTS.CA WEBSITE YOU SIGNIFY YOUR ACCEPTANCE OF THESE TERMS AND CONDITIONS OF USE. IF YOU DO NOT AGREE WITH ANY OF THE TERMS AND CONDITIONS OF USE, YOU SHOULD NEITHER ACCESS NOR USE THIS WEBSITE. You will be prompted to confirm your agreement with the terms set out herein as part of the registration process, and your access to and use of this website is conditional on your agreement to the following terms.

The information, text, video, audio and pictures (collectively, the "Materials") contained on the clientinsights.ca website are protected by copyright laws. You confirm that you are a financial advisor in good standing or work in the financial industry and agree to only access clientinsights.ca and use the Materials for the purpose of communicating the Materials to your existing and prospective clients or other members of the financial industry who are residents of Canada. You shall NOT charge your existing and prospective clients any fee for your provision of access to any such Materials.

The Materials must be sent to or shown in their entirety without editing. You shall not alter or modify the Materials in any manner or form whatsoever, nor use the Materials in any manner or form that could be reasonably be perceived to be defamatory or injurious to any party depicted in the Materials.

Access to the clientinsights.ca website is made available at the sole discretion of Strategic Imperatives and may be terminated by Strategic Imperatives at any time at its sole discretion without notice. In the event of termination, you are no longer authorized to access the clientinsights.ca and distribute the Materials; and the disclaimers, indemnifications and limitations of liabilities set forth in these terms and conditions, shall survive the termination of this agreement.

Strategic Imperatives reserves the rights to change these terms and conditions of use from time to time, provided that such changes are reasonable and in the spirit of the original agreement, and any such changes will be posted on the clientinsights.ca website and you agree to be automatically bound by such changes The terms and conditions may not be otherwise amended except in a writing signed by both you and Strategic Imperatives.

You shall not knowingly or negligently share your password and/or account information with any other entity, or allow any other entity access to clientinsights.ca website using your password and/or account information.

Strategic Imperatives reserves the right from time to time to delete or add Materials, make changes, alterations and/or updates to the Materials without notice.

The Materials are not intended to provide advice but are strictly for the purposes of education and information only. The Materials are NOT meant to replace proper investment, financial, business, tax planning, or legal advice.

You shall fully indemnify, protect and hold Strategic Imperatives including its directors, officers, employees and agents completely harmless from and against any and all losses, demands, costs, charges, expenses, suits, claims and liabilities relating to the accessing and distribution of materials on the clientinsights.ca website using your password and / or account information. This indemnity shall remain in full force and effect after the termination of this agreement for an indefinite period.

General legal provisions.

You agree to comply with all applicable domestic laws, statutes and regulations.

These terms and conditions constitute an agreement that is effective until terminated by Strategic Imperatives at any time forthwith by delivering a written notice in any form or medium whatsoever including by email. These terms and conditions constitute the entire agreement between you and Strategic Imperatives related to clientinsights.ca and the Materials.

Strategic Imperatives does not provide any form of warranty or guarantee of any kind, either express or implied, including without limitation any warranty for information, services, or programs provided through or in connection with the clientinsights.ca website and any implied warranties or conditions of fitness for a particular purpose, expectation of privacy or non-infringement. Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. This disclaimer of liability applies to any damages or injury caused by any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of record, whether for breach of contract, tortious behaviour, negligence or under any other cause of action.

You and Strategic Imperatives are independent contractors, and no agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by this agreement.

This agreement shall be interpreted in accordance with and governed by the laws of the Province of Ontario, as if executed and fully performed in the Province of Ontario, and the federal laws of Canada applicable herein. To the extent permitted by applicable law, unless we agree otherwise, any claim, dispute or controversy, whether in contract or tort, pursuant to statute or regulation, or otherwise, and whether pre-existing, present or future, arising out of or relating to these terms and conditions or the clientinsights.ca website or Materials will be determined by final and binding arbitration pursuant to the "National Arbitration Rules" of the ADR Institute of Canada, Inc. as at present in force, to the exclusion of the courts.

This agreement is personal to you and cannot be assigned by you in any manner whatsoever. Strategic Imperatives may assign this agreement without your consent or any notice to you.

You and Strategic Imperatives declare that they have required that this agreement and any documents relating thereto be drawn up in the English language. Vous et Strategic Imperatives déclarent qu'elles ont exigé que cette entente et tous les documents y afférant soient rédigés en langue anglaise.
